Terms of Sale
Version of October 20, 2026.
The seller
Kapari is a service published by Pierre Barreaud EI, a French sole proprietor (entrepreneur individuel) trading as TAOPIB, registered with the Orléans trade and companies register under number 952 940 021 (SIRET 952 940 021 00019), with registered office at 401 rue de Barbotte, 45160 Olivet, France. Contact: contact@kapari.eu. See also the legal notice.
In these terms, "Kapari" means the service and its publisher, and "the Customer" means the business that subscribes to a paid plan.
1. Purpose and acceptance
1.1. These terms of sale (the "Terms") govern the sale of subscriptions to Kapari, online software that has a panel of simulated voices react to a decision described by the Customer. A subscription includes no workshop, no coaching and no consulting.
1.2. Kapari sells only to businesses buying for their professional activity. By subscribing, the Customer confirms it acts in that capacity.
1.3. The Customer accepts the Terms by ticking a box at checkout; the date and time of acceptance are recorded. The Terms are available before acceptance and are provided on a durable medium on request. The Customer's own purchasing terms apply only if Kapari has accepted them in writing.
1.4. The Terms of Use also apply. In case of conflict, these Terms prevail for anything relating to the paid subscription, and the data processing agreement (appendix) prevails for anything relating to personal data.
2. Excluded customers
Kapari does not sell subscriptions to schools, higher education institutions, training providers, or consulting firms whose main activity is education or training.
3. Definitions
- Kap: a decision run on the Kapari test bench, with its panel and its result.
- User: a person who runs Kaps. Reading a result shared by link does not make someone a User.
- Account: a User's personal space. An Account is not shared.
- Deliverables: what the service produces for the Customer from a Kap (report, presentation, share link, and editable files for Pro).
- Period: the month or year paid in advance, depending on the plan.
4. Plans and prices
4.1. Kapari Access. 99 USD per month per User, or 990 USD per year per User (two months free). For a Customer invoiced in euros: 99 EUR per month or 990 EUR per year, excluding VAT. Includes the full engine, at the same quality as Pro; PDF report; non-editable PDF presentation; share link, free to read; Deliverables signed by Kapari.
4.2. Pro. 199 USD per month per User, or 1,990 USD per year per User (two months free); 199 EUR or 1,990 EUR excluding VAT for a Customer invoiced in euros. Includes everything in Access, plus the Pro features listed on the pricing page on the day of subscription.
4.3. Enterprise. On quote, for several accounts, a negotiated data processing agreement or a works council consultation. It is governed by its own contract, which prevails over these Terms.
4.4. The exact content of each plan is the one described on the pricing page on the date of subscription. Only features actually available on that date are owed.
4.5. Prices exclude taxes. VAT is covered in section 11.
5. Free trial
5.1. A free 30-day trial opens when an account is created with a business email address. It gives the volume and Deliverables of Access. No payment card is required for the trial.
5.2. When the trial ends, no subscription starts and nothing is charged without an express subscription by the Customer. The account stays open and the Customer keeps read access to its Kaps.
5.3. A trial opens only once per email address. When an account is deleted, an encrypted fingerprint of the address is kept for twelve months to recognize an address that already had a trial, then erased.
6. Users and accounts
6.1. Each subscription is attached to a named User. The Customer pays one subscription per User.
6.2. Credentials are personal. The Customer is responsible for keeping them confidential and for the use made of its accounts.
7. Fair use
7.1. The price covers normal professional use. As a benchmark, fair use is 40 Kaps per month per User for Access and 80 Kaps per month per User for Pro. No counter is shown on screen.
7.2. A daily consumption ceiling protects the service. When it is reached, the application says so clearly and new Kaps can be run again the next day. The Customer is warned in the application as the ceiling approaches.
7.3. In case of repeated use beyond fair use, Kapari contacts the Customer to propose a suitable plan. Kapari does not end a subscription on that ground alone without such prior contact.
7.4. The number of files is not limited.
8. Term, renewal and cancellation by the Customer
8.1. Subscriptions are monthly or yearly, paid in advance. They renew automatically for a Period of the same length unless cancelled.
8.2. The Customer can cancel at any time from its account (subscription management portal) or, failing that, by email to contact@kapari.eu. Cancellation takes effect at the end of the current, already paid Period.
8.3. No pro-rata refund is made for a Period already started, except in the cases set out in sections 11.3, 17.2, 20 and 22 and in section 5 of the appendix, or where the law requires it.
9. Changing plans
9.1. Moving from Access to Pro takes effect immediately; the amount for the current Period is prorated by the payment provider.
9.2. Moving back from Pro to Access takes effect at the end of the paid Period.
10. Discounts and partner codes
10.1. The only discount Kapari grants is a partner code; no other discount is negotiated.
10.2. A partner code takes 20% off the monthly price of Access or Pro: for the first three months for a referrer's code, for the first twelve months for the code of a consultant who works with the Customer. One code per account, no stacking; no code applies to yearly billing.
10.3. When a partner introduced the Customer, Kapari shares with that partner, to compute its fee, the name of the Customer's organization, the plan, the number of paid Users and the amounts collected. Nothing else, and never the content of Kaps.
11. Invoicing, payment and VAT
11.1. Payment is made online, in advance, at the start of each Period, by the methods offered on the checkout page. Collection, renewal and invoicing are handled by the payment provider Stripe. Kapari neither sees nor stores full card numbers.
11.2. An invoice is issued for each payment and made available in the account and by email. The Customer provides accurate billing details (legal name, address, and EU VAT number if established in another EU member state).
11.3. VAT.
- As long as the seller benefits from the French VAT franchise (article 293 B of the French General Tax Code), prices carry no VAT and invoices bear the statement "TVA non applicable, article 293 B du CGI". From January 1, 2027, the statement will refer to the provision that replaces article 293 B.
- For a business Customer established outside France, the service is not located in France (article 259 of the French General Tax Code): no French VAT is charged. For a Customer established in another EU member state, the invoice shows its VAT number and, where applicable, the statement "Autoliquidation" (reverse charge).
- If the seller becomes liable for VAT, it is added to the prices at the applicable rate. The Customer is informed in writing at least 30 days before the first invoice concerned and may cancel at no cost before that date; the unused part of a yearly Period is then refunded.
12. Late payment and non-payment
12.1. Any amount unpaid when due automatically bears, from the next day and without reminder, late payment interest at the rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points (article L441-10 of the French Commercial Code).
12.2. A business Customer that pays late also owes, by law, a fixed recovery fee of 40 EUR (articles L441-10 and D441-5 of the French Commercial Code), without prejudice to further documented compensation.
12.3. If a charge fails, the payment provider retries and the Customer is notified by email. If the last reminder goes unpaid, the subscription ends seven days after it; read access to existing Kaps remains open, and the Customer can subscribe again at any time.
13. Nature of the service and prohibited uses
13.1. Kapari is a test bench: it produces simulations of plausible reactions, generated by artificial intelligence from sociological profiles. A result is not a poll, not an opinion measurement, not a prediction and not advice (legal, financial, strategic or other). The Customer remains solely in charge of, and responsible for, its decisions.
13.2. The Customer shall not:
- present a Kapari result as a poll, a measurement of the opinion of a real population, or a prediction;
- use or publish a result in an electoral context (campaign, election, referendum);
- resell access to the service or share it among several people through one account;
- attempt to bypass security measures, extract the service's content in bulk, or overload it;
- enter special categories of personal data (health, political opinions, religious beliefs, etc.), or data identifying individuals beyond what its decision requires.
13.3. A Customer that hands a Deliverable to a third party, in particular under its own brand, keeps the "method and limits" box in full and is solely responsible for how it presents it.
13.4. A serious breach of this section allows Kapari to suspend the account concerned after a written request left without effect for 8 days, or immediately if the breach exposes Kapari or third parties to an imminent risk.
14. Liability: Kapari's financial liability is capped at the amounts collected
14.1. Cap. For all causes combined, Kapari's total liability to the Customer is limited to the amounts actually collected by Kapari for the Customer's subscription during the twelve months preceding the event giving rise to liability. Example: a Customer who paid three months of Access at 99 USD has a cap of 297 USD.
14.2. Excluded damages. Kapari is not liable for indirect damages, including: the consequences of a decision taken on the basis of a simulation, loss of revenue, customers, reputation or opportunity, or loss of data the Customer could have saved through the service's exports.
14.3. Best efforts. Kapari undertakes to use reasonable means to provide the service described. It does not guarantee the accuracy, representativeness or suitability of results for any particular situation.
14.4. Deliverables handed over by the Customer. The Customer is solely responsible for Deliverables it hands to third parties, in particular under its own brand.
14.5. Legal limits. The cap does not apply in case of gross negligence or willful misconduct by Kapari (article 1231-3 of the French Civil Code), or where the law prohibits limiting liability. It is not intended to deprive Kapari's essential obligation of its substance (article 1170 of the French Civil Code). Nothing in these Terms excludes liability that cannot be excluded by law.
This cap also applies to the data processing agreement in the appendix, subject to mandatory rules.
15. Availability and support
15.1. Kapari is provided online, in principle continuously, with no guarantee of uninterrupted service. Interruptions may occur for maintenance, updates or incidents; Kapari strives to keep them short and to announce in advance those it can schedule.
15.2. Kapari commits to no numerical availability rate. An interruption of more than 72 consecutive hours attributable to Kapari entitles the Customer, on request, to a credit prorated to the length of the interruption.
15.3. Access support: by email to contact@kapari.eu, with no guaranteed response time. Pro support: an answer within one business day, from the founder, to messages sent from the logbook in the app; other channels are handled with no guaranteed response time. No phone support.
16. Intellectual property and Deliverables
16.1. What remains Kapari's. The software, engine, method, base of frames and sources, document templates, interface and the Kapari brand remain the publisher's property. A subscription grants a personal, non-transferable right to use the service for the term of the subscription.
16.2. What remains the Customer's. The Customer keeps all rights in what it enters or attaches (decisions, context, documents, notes). It grants Kapari only the right to process them to provide the service. Kapari does not use them to train any model and shows them to no one else, except through a share link created by the Customer.
16.3. Deliverables. The Customer may freely use the Deliverables of its Kaps, for its own needs and to hand them to its own clients, without time limit, including after the subscription ends, subject to section 13. To the extent a Deliverable carries rights of Kapari (layout, method texts), Kapari grants the Customer a non-exclusive, worldwide, royalty-free right of use for the same purposes.
16.4. Customer brand (Pro). The Customer grants Kapari, for the term of the Pro subscription only and solely to render its Deliverables and share page, the right to reproduce the logo and name it uploads. It warrants it holds the rights to that logo. Kapari may remove a manifestly infringing logo. When Pro ends, new Deliverables are signed Kapari; share links already sent keep the Customer's logo as long as the shared Kap exists; the logo and organization name are erased three months after Pro ends, except for Kaps already shared.
17. Service features
17.1. Kapari may evolve the service. No feature not described at subscription is owed.
17.2. If Kapari removes, during a subscription, a feature described on the pricing page on the date of subscription, the Customer may cancel at no cost and is refunded the unused part of the current Period.
18. Personal data and confidentiality
18.1. For the content of Kaps (decisions, context, attached documents, file notes, people the Customer names), the Customer is the controller and Kapari acts as processor. The data processing agreement in the appendix applies to all paying Customers.
18.2. For the account, invoicing, payment and service emails, Kapari acts as controller, under its privacy policy.
18.3. Kapari keeps the Customer's information confidential. Only the operator of the service has access to it, for the needs of the service, security and support.
19. End of subscription
19.1. When the subscription ends, the account stays open: the Customer keeps read access to all its Kaps and can export its Deliverables; it can no longer run new Kaps.
19.2. The Customer may at any time delete a Kap, a file or its account. An account inactive for three years is deleted. What happens to data is set out in section 9 of the appendix.
19.3. Invoices are kept for ten years (article L123-22 of the French Commercial Code).
20. Force majeure
Neither party is liable for a failure caused by a force majeure event within the meaning of article 1218 of the French Civil Code. If the impediment lasts more than 30 days, either party may terminate in writing, without compensation; the unused part of the Period is refunded.
21. Changes to the Terms and prices
21.1. Kapari may change these Terms or its prices. The Customer is informed by email at least 30 days before they take effect. The change applies from the next Period after that date.
21.2. A Customer that refuses a change cancels before it takes effect and is then not bound by the new version. A price increase never applies to a Period already paid.
22. Termination for breach
In case of serious breach by one party, the other may terminate the subscription by written notice, after a formal notice left without effect for 15 days that expressly mentions this right (article 1226 of the French Civil Code). If the breach is Kapari's, the unused part of the Period is refunded.
23. Governing law, jurisdiction and language
23.1. These Terms are governed by French law.
23.2. Where both the Customer and Kapari are merchants (commerçants), any dispute relating to these Terms falls under the exclusive jurisdiction of the commercial court with jurisdiction over Kapari's registered office, in Orléans, France (article 48 of the French Code of Civil Procedure). In other cases, the statutory rules of jurisdiction apply.
23.3. Before any action, the parties seek an amicable solution for 30 days from an email describing the dispute.
23.4. These Terms exist in French and English. In case of discrepancy, the French version prevails.
Appendix: data processing agreement (GDPR article 28)
This agreement supplements the Terms for every paying Customer. The Customer is the controller; Kapari (Pierre Barreaud EI, trading as TAOPIB, SIREN 952 940 021, 401 rue de Barbotte, 45160 Olivet, France) is the processor. Data contact: contact@kapari.eu.
1. Description of the processing
- Subject matter: providing the Kapari service to the Customer: composing a panel of simulated voices, having it react to a decision described by the Customer, storing, exporting and sharing the result at the Customer's request.
- Duration: the term of the subscription, then the return and deletion period set out in section 9.
- Nature of the operations: collection by Customer input, storage, extraction of facts from a document or page designated by the Customer, transmission to language models, automated meaning checks, retention, availability through a share link at the Customer's request, export, deletion.
- Purpose: solely to perform the service for the Customer. No marketing, no resale, no model training by Kapari.
- Categories of data: what the Customer chooses to write or attach: decision text, context, facts extracted from a document (the document itself is not kept), file notes, source addresses, named stakeholders, questions put to the panel.
- Categories of data subjects: third parties the Customer names or describes: employees, executives, clients, partners, elected officials, public figures.
- Sensitive data: not expected. The Customer undertakes not to enter any; Kapari does not look for it.
Account, billing and payment data are outside this agreement: Kapari processes them as controller.
2. Documented instructions
Kapari processes data only on the Customer's documented instructions, including for transfers outside the EU. Instructions are: these Terms, this agreement, and the Customer's actions in the application (running a Kap, attaching a document, having an address read, approving search queries, creating or revoking a share link, exporting, deleting). If an instruction seems contrary to the GDPR, Kapari informs the Customer immediately.
3. Confidentiality
Only one person has access to production data: the operator of the service, bound by confidentiality. Anyone joining operations will sign a confidentiality undertaking before any access.
4. Security
- Encryption in transit (TLS); secrets kept out of the code, with restricted access.
- Per-account isolation in the database, checked weekly.
- Salted password hashing (scrypt), login lockout.
- Neutralization of injected instructions before any model call; third-party pages read under an allowlist, without cookies.
- Context and file notes are never exposed through a share link.
- Daily backups with tested restoration; application access log; admin access limited to a closed list of addresses.
5. Sub-processors
The Customer gives general written authorization to the sub-processors listed below. Kapari informs the Customer of any addition or replacement at least 30 days before it receives any data, by email and in the privacy policy. The Customer may object within that period; failing agreement, it may cancel at no cost and is refunded the unused part of the Period. Kapari imposes equivalent data protection obligations on each and remains fully liable to the Customer for their performance.
- Hostinger International Ltd (Cyprus; server in Paris): hosting of the service and backups.
- Supabase (US company; database hosted in Paris, AWS region eu-west-3): database (saved Kaps, files, notes).
- Mistral AI (France; processing in the EU): writing simulated voices and the note, fact extraction.
- TypeSafe AI, Jev model (United States): meaning checks with no text generation, item by item; never a whole document.
- Google, Gemini service (United States): search for public facts about the actor named in the decision.
- OpenRouter, Perplexity (United States): search for public facts at the Customer's request, on the queries it has reviewed and approved only.
The following are not sub-processors under this agreement, because they receive no Kap data or because Kapari acts for itself: Stripe (payment and invoices), Resend (service emails), Qonto (the seller's bank) and Anthropic (help drafting Kapari's prospecting messages, with no data from Customers' Kaps or accounts). They are named in the privacy policy.
Transfers to the United States rely on the European Commission's standard contractual clauses provided in these providers' contracts, or on their certification under the EU-U.S. Data Privacy Framework where it exists.
6. Data subject rights
Kapari helps the Customer respond to requests from data subjects. The Customer can itself delete a Kap, a note, a file or its account from the application. A request received directly by Kapari about the Customer's data is forwarded to the Customer within five business days, without answering on the merits.
7. Data breaches and assistance
Kapari notifies the Customer of any personal data breach affecting it without undue delay after becoming aware of it, and no later than 48 hours. The notice states what is known (nature, data and people affected, likely consequences, measures taken) and is supplemented afterwards. Kapari provides the Customer with the information it holds for a data protection impact assessment or prior consultation.
8. Documentation and audits
Kapari makes available to the Customer, on request, this agreement, the up-to-date list of sub-processors and a description of the security measures. The Customer may have an audit carried out, by itself or by an auditor bound by confidentiality, with 30 days' notice, at its own cost, at most once a year, except in case of a proven breach.
9. Data at the end of the contract
At the Customer's choice: it exports its Kaps from the application, or it requests deletion of its data. Without a request, the account stays open read-only until the Customer deletes it or after three years of inactivity. A requested deletion is carried out within 30 days; data then disappears from server backups as they rotate over 14 days and from the weekly off-server archive, also kept for 14 days. Kapari confirms deletion in writing on request. Invoices are not Customer data under this agreement; they are kept for ten years.
10. Relationship with the Terms
In case of conflict on a data protection point, this agreement prevails over the Terms. The liability cap in section 14 of the Terms applies to it, subject to mandatory rules.
